Contexta.
Terms of Service

The terms Contexta is sold and used under.

Written to be read. They cover what the product is, what it costs, how you pay, when you get your money back, and what happens to your notes and the people in them. If anything here and the page disagree, these terms win.

01Who you are dealing with

sudorigin builds and operates Contexta.

Contexta is built and operated by sudorigin, the trading name of an independent developer ("we", "us"). Our legal name and address are on file with Paddle, our merchant of record, and available on request. These terms are a contract between you and sudorigin. You accept them by applying for a seat, joining the waitlist, paying for a seat, or sending the Contexta bot a message.

Contact for anything under these terms: support@sudorigin.com. Sales and founding-seat questions go to founder@sudorigin.com. Both reach the same person.

02What Contexta is

Relationship memory for one operator, with matching over your own notes.

Contexta is a service for independent M&A advisors, business brokers and business-development leads. You send it notes about the people in your network, as voice or text, through a Telegram bot. It transcribes them, extracts who was mentioned and what they want or offer, keeps that as a structured record you can correct, and tells you when two people in your own notes should be introduced. For each match it shows the evidence and drafts the introduction.

Contexta never sends anything on your behalf. Every draft is a draft. You read it, you decide, you send it from your own channels or you do not. Matches are suggestions built from what you wrote; you check them before you act.

Contexta is an early-stage service. Onboarding is done with you on a call, one account at a time, features change, and some parts of the product described on the page are still being built. Section 10 says what that means for you.

03Accounts

One person, one account, business use.

You must be at least 18 and using Contexta for your work. An account is tied to your Telegram account; keep that secure, because whoever controls it controls your notes. Tell us at once if you think someone else has access.

A seat is for one named person. Sharing a seat across a team needs a separate agreement.

04Your notes and the people in them

Your notes are yours. The people in them are your responsibility.

You own everything you send Contexta and everything it extracts from it. We get a licence to store, transcribe, process and display that content only to run the service for you. We do not sell your data, do not use your notes to train models, and do not show them to any other customer.

Your notes will name other people: clients, counterparties, lawyers, friends of friends. You are the one who decides to record them, so you are responsible for having the right to do so under the laws that apply to you, and for what you do with the introductions Contexta suggests. We process that information only to provide the service to you, never to contact those people, and never to build anything about them that outlives your account. How we handle it is in the privacy policy.

Do not send content you have no right to share, anything unlawful, or anything that targets a person with harassment or discrimination.

05Plans and prices

One seat and a waitlist. Prices in US dollars.

Founding partner$49 per month, held for 12 months from your first payment. Thirty days before the 12 months end, we email you the price that follows, and you can cancel before it applies. Four seats, one per segment, by application; after the four, seats open by invitation. The seat includes unlimited contacts and notes, voice and text capture in English and Hebrew, matching and introduction drafts, export on request, and the founder one email away. Founding partners get an onboarding call, in which they enter their own contacts and notes; a 15-minute call once a month and a five-question written check-in every two weeks for their first 12 months; and their requests placed at the top of the build list. That is a priority, not a promise that any particular feature ships. In return we ask for at least twenty notes a week and plain feedback when something is wrong.
WaitlistFree. A place on the waitlist is not an account and creates no obligation on either side. Seats open by invitation, in the order and at the pace we can onboard them.

Prices exclude VAT and sales tax. Tax is calculated and shown at checkout for your country and added to the price. We can change list prices with thirty days' notice by email; a change never applies inside a month you have already paid for, and never to the $49 founding rate inside its 12 months.

06Payment

Orders are processed by Paddle, our merchant of record.

Our order process is conducted by our online reseller Paddle.com Market Ltd (or its affiliate for your region). Paddle is the merchant of record for every order: it takes your payment, issues the invoice, calculates and remits tax, and handles payment questions and refunds. Your card details go to Paddle and never reach us. By paying, you also accept Paddle's Buyer Terms.

Paddle's charge appears on your statement as "PADDLE.NET* CONTEXTA" or similar. Invoices come from Paddle by email after each payment.

07Refunds

Refunds: your first month back within 14 days, and you can leave at any time.

Your first month, refunded in full. If you ask within 14 days of your first payment, by emailing support@sudorigin.com, we refund it in full, no questions. After that, cancel at any time; the cancellation takes effect at the end of the month you have paid for, and a started month is not refunded.

Refunds are issued by Paddle to the original payment method, normally within ten business days of our confirmation. Where the law where you live gives you a stronger right, that right applies.

These refunds are your sole remedy if Contexta does not work for you. No other credit, damages or compensation is owed for a match that did not come, a draft you did not like, or a feature that changed.

08Renewal and cancellation

Your seat renews monthly until you cancel. Leaving is one message.

A seat renews every month at the rate that applies to it, until you cancel. The founding rate holds for 12 months from your first payment; thirty days before it ends, we email you the rate that follows.

To cancel, email support@sudorigin.com or use the link in your Paddle invoice. Cancellation takes effect at the end of the month you have paid for. On request we send you an export of everything, as files you can open, and then delete your account as set out in the privacy policy.

09Acceptable use

Use it for your own network, in good faith.

  • Do not try to reach another customer's data, probe the service, or run automated traffic against the bot.
  • Do not resell access or use Contexta to build a competing product from its output.
  • Do not use it to send unsolicited bulk messages; the drafts exist for introductions between people you know.
  • Do not upload malware or content that is illegal where you or we are.

We can suspend or close an account that breaks these rules, after telling you unless the law or the safety of others stops us. A closure for cause is not refunded beyond what the law requires.

10Availability and changes

No uptime promise yet. Nightly backups, and an honest status when something breaks.

Contexta runs on hosted infrastructure. We aim for it to be up all the time and take backups every night, but we do not offer a service-level agreement at this stage, and we may pause the service for maintenance. Telegram, the model providers and the hosting providers we rely on can fail outside our control, and we are not responsible for their outages. If a capture fails, the bot tells you and the audio is kept until you retry.

Keep your own copies. Export is available on request at any time. If data is lost, our obligation is to restore it from the most recent backup; we are not liable for data that a backup did not capture.

We can change or retire features. If a change removes something you rely on, tell us; if we cannot fix it, you can cancel and we refund the month you are in. If we close the service entirely, you get at least sixty days' notice, a full export, and a refund of any month you have paid for and not used.

11Intellectual property

We keep the product. You keep your data and what you do with it.

The software, prompts, matching logic, designs and the Contexta name belong to sudorigin. You get a non-exclusive, non-transferable right to use the service while you pay for it. Feedback you give us can be used to improve the product without owing you anything, and without naming you unless you agree.

12Warranty and liability

Matches and drafts are suggestions. The deal is yours, and so is the risk.

Contexta reads your notes with language models. They mishear names, miss context and sometimes state a figure wrong. The product is designed so you approve every extraction and read every draft; it is not a substitute for your own judgment, and nothing it produces is legal, financial, tax or investment advice. We are not a broker, an agent or a party to any deal you make with people Contexta reminded you of, we owe and claim no fee on it, and you alone check who a counterparty is before you act.

The service is provided as is and as available. We make no warranty that it is accurate, complete, secure, uninterrupted or fit for a particular purpose, that it will find any match, or that any feature will keep existing, beyond what these terms say and the law requires.

To the extent the law allows, our total liability to you for anything arising from these terms or the service, in contract, tort or otherwise, is limited to the fees you paid us in the three months before the claim, or $100 if that is greater. We are not liable for lost profits, lost deals, lost data, reputational loss, or any indirect or consequential loss, even if we were told it could happen. Claims are brought individually, not as part of a class or group. Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything the law says cannot be limited.

You indemnify us, to the extent the law allows, against claims, losses and costs arising from content you sent us, from your breach of these terms or of any law, or from any deal or introduction you pursued. You are responsible for complying with the anti-spam, privacy, licensing and professional rules that apply to your work.

13Law and changes

Israeli law. Changes announced by email.

These terms are governed by the laws of the State of Israel, and the courts of Tel Aviv have jurisdiction, except where the consumer-protection law of the country you live in gives you rights that cannot be taken away by contract. Before either of us goes to court, we talk: email us and we answer within five business days.

We can update these terms. A material change is announced by email at least fourteen days before it applies, and you can cancel, with the month you are in refunded, if you do not accept it. The date at the top is the version in force.

Neither of us is liable for a failure caused by something outside our reasonable control. We may transfer these terms to a successor if the business is sold or reorganised; you may not transfer your seat without our written agreement. Not enforcing a term once is not a waiver of it. Sections 04, 07, 11, 12 and 13 survive the end of the agreement.

If any part of these terms is found unenforceable, the rest still stands. These terms, the privacy policy and Paddle's Buyer Terms are the whole agreement between us.
